These Terms of Service ("Terms") are an agreement between you and YooTalk Technologies Ltd. ("YooTalk", "we", "us") and govern your use of the YooTalk app and website (the "Service"). By creating an account or using the Service you agree to these Terms, our Privacy Policy and our Community Guidelines. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 18 years old and able to form a binding contract to use YooTalk. You may not use the Service if we have previously banned you or if the law of your country forbids it. Additional age, location and identity requirements apply to cashing out earnings (see the Creator Earnings Terms).
2. Your account
- You sign in with a phone number or a Google account. Keep your login secure; you are responsible for activity on your account.
- Provide accurate information and keep it up to date. Do not impersonate anyone.
- One person, one account. Do not buy, sell, rent or transfer accounts.
- Tell us immediately at support@yootalk.live if you think your account has been compromised.
3. Your content
You own the content you create: videos, photos, posts, comments, messages, room names and covers, and what you say or show in rooms and live streams ("Your Content").
To run the Service, you grant YooTalk a worldwide, non-exclusive, royalty-free, sublicensable and transferable licence to host, store, reproduce, transmit, display, perform, adapt (for example, to transcode or resize) and distribute Your Content in connection with operating, promoting and improving the Service. This licence ends when Your Content is deleted from the Service, except for content others have shared (which may remain), backup copies kept for a limited time, and content we must keep for legal reasons.
You confirm you have all rights needed to post Your Content, including music, and that it does not break these Terms or the law.
Live rooms and streams are public unless you make them private. Other users may see, hear and record what you share. Think before you broadcast.
4. Prohibited conduct
You must follow our Community Guidelines. In particular, you must not:
- post or stream sexual content, nudity, or any content that sexualises minors;
- harass, bully, threaten, dox or abuse anyone, or promote hate based on protected characteristics;
- promote violence, self-harm, terrorism, weapons sales or illegal drugs;
- scam, phish, spam, or ask other users for money, coins, gifts or personal financial details;
- impersonate people or organisations, or misrepresent your identity or age;
- infringe anyone's intellectual property or privacy;
- use bots, scripts, multiple accounts or other tricks to manipulate gifts, levels, PK results, followers or earnings, including self-gifting;
- reverse-engineer, scrape, overload or interfere with the Service, or bypass any security or moderation feature;
- use YooTalk to arrange gambling, betting or wagering of any kind.
Zero tolerance. We have zero tolerance for objectionable content and abusive users. We review reports promptly, remove content that breaks these rules, and suspend or permanently ban the users responsible. Every user can report content and block other users in the app.
5. Virtual coins and gifts
- Coins are a virtual item you can buy in the app through Google Play Billing, Apple In-App Purchase or other payment methods we offer in your region. Prices are shown before you buy.
- Coins and gifts are a limited, personal, revocable, non-transferable licence to use a feature of the Service. They are not money, have no cash value to the buyer, and cannot be exchanged for cash, sold, transferred between accounts or redeemed outside the Service, except that hosts may cash out gifts they have received under the Creator Earnings Terms.
- You spend coins to send gifts. Once sent, a gift is consumed and cannot be returned.
- Coin purchases are final except as required by law or set out in our Refund Policy.
- We may change coin prices, gift values and the gift catalogue. We may correct balances that are wrong because of an error, fraud or a chargeback.
- If your account is terminated for breaking these Terms, or deleted, remaining coins and unpaid earnings are forfeited to the extent permitted by law.
6. PK battles
PK battles are a form of live entertainment. Gifts sent during a PK battle are support for a host. They are not bets, stakes or wagers. Viewers do not win money, coins or prizes based on the outcome of a battle, and no one may use PK battles for gambling or betting. Battle formats, durations and any in-app recognition may change at any time.
7. Creator earnings
Hosts who receive gifts may be eligible to cash out under the Creator Earnings Terms, which form part of these Terms. Earnings are not guaranteed.
8. Moderation and termination
We may remove content, restrict features, mute, close rooms, suspend or terminate accounts if we reasonably believe you have broken these Terms or the law, or to protect users or the Service. Where appropriate we will tell you why and how to appeal. You can stop using YooTalk and delete your account at any time.
9. Third-party services
The Service relies on third parties (for example app stores, payment processors, and audio/video and AR providers). Your use of their services may be subject to their terms.
10. Disclaimers
The Service is provided "as is" and "as available". To the extent permitted by law, we do not guarantee that the Service will be uninterrupted, error-free or secure, and we are not responsible for what other users say, stream or post. Nothing in these Terms excludes rights you have as a consumer that cannot be excluded by law.
11. Limitation of liability
To the extent permitted by law, YooTalk will not be liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, data or goodwill. Our total liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim and (b) USD 100. These limits do not apply to liability that cannot be limited by law, such as for death or personal injury caused by negligence, or fraud.
12. Indemnity
You agree to compensate YooTalk for claims, losses and costs (including reasonable legal fees) arising from Your Content or your breach of these Terms, to the extent permitted by law.
13. Governing law and disputes
These Terms are governed by the laws of England and Wales. Courts in England and Wales have jurisdiction, except that if you are a consumer you may also bring claims in the courts where you live, and you keep the protection of the mandatory laws of your country.
14. Apple users
If you downloaded YooTalk from the Apple App Store, you also agree to Apple's Licensed Application End User License Agreement ("Standard EULA"). These Terms are between you and YooTalk, not Apple. Apple is not responsible for the app or its content, has no obligation to provide maintenance or support, and is not responsible for any product claims, but Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you. If there is a conflict between these Terms and the Standard EULA for iOS users, the term more protective of you applies to the extent permitted by Apple.
15. Changes
We may update these Terms. We will post the new version here and update the "Last updated" date. If changes are material, we will notify you in the app before they take effect. Continuing to use YooTalk after that means you accept the new Terms.
